On April 14, 2023, Clearview Capital completed a recapitalization of Capitol Services. Clearview Capital (Funds IV and V) acquired a controlling stake in the company, with Northstar Capital providing junior debt and equity co-investment and Ares Capital Corporation also taking a position.
The founders — John Robinson and Cheryl Roberts — retired in connection with the transaction, retaining minority stakes. CEO Kevin Roberts and COO Jody Roberts took over as the operating leadership team.
The Clearview Capital acquisition is worth noting because it changes the character of the company somewhat. For 45 years, Capitol Services was an independent firm. Since April 2023, it is a PE-backed portfolio company being managed for growth and eventual exit. For current customers, the practical day-to-day impact is minimal. For attorneys and process servers understanding who they are dealing with, it is relevant context.
Mid-Market Positioning
Capitol Services is not trying to be CSC or CT Corporation. It occupies a specific position in the registered agent market that those companies do not: a tech-enabled, mid-market compliance services firm targeting law firms and corporate legal departments.
